London-based hyperscaler Nscale Global Holdings Ltd. has signed a definitive agreement to acquire American Intelligence & Power Corp.<\/p>\n\n\n\n

Morgan Stanley & Co. LLC acted as financial advisor, while Latham & Watkins served as legal counsel for Nscale. Vinson & Elkins LLP provided legal counsel for Fidelis New Energy, while Greenhill & Co. acted as exclusive financial advisor for AIPCorp.<\/p>\n\n\n\n

Through this acquisition, Nscale will take control of the Monarch Compute Campus, a purpose-built data center development expected to deliver more than 8 gigawatts of capacity in Mason County, W.Va. The project is the first state-certified microgrid campus in the nation.<\/p>\n\n\n\n

On the same day, Nscale also unveiled it has signed a letter of intent with Microsoft to provide 1.35 gigawatts in AI compute capacity at the Monarch Compute Campus.<\/p>\n\n\n\n

Under this collaboration, Nscale will construct and operate advanced AI data center infrastructure to host this large GPU deployment, while using the NVIDIA Vera Rubin NVL72 GPU system.<\/p>\n\n\n\n

The acquisition of this project allows Nscale to create a vertically integrated energy-to-compute platform aimed at enhancing AI infrastructure, driven by the surging demand in the U.S. Caterpillar is also part of this collaboration and is set to supply and deploy natural gas generators slated to power Nscale\u2019s Monarch Compute Campus.<\/p>\n\n\n\n

Fidelis New Energy and 8090 Industries launched AIPCorp in January 2026 as a strategic joint venture between the two companies, with its main development being the Monarch Compute Campus.<\/p>\n\n\n\n

After the acquisition is finalized, Nscale will launch a new division dubbed Nscale Global Energy & Power, that will include a part of AIPCorp and Fidelis New Energy team members, with Co-Founder & CEO of AIPCorp Daniel Shapiro leading the new division. Nscale Energy & Power will be headquartered in Houston.<\/p>\n\n\n\n

Nscale\u2019s acquisition also combines its global hyperscale compute platform with the Monarch Compute Campus.<\/p>\n\n\n\n

The first state-certified microgrid campus in the U.S.<\/h2>\n\n\n\n

Monarch Compute Campus is a 2,250-acre project near Point Pleasant, W.Va., powered by Marcellus Shale Gas Co. through multiple pipelines, including the Prosperity Line. The project\u2019s first phase consists of 2 gigawatts scheduled to come online in the first half of 2028. At full built-out, the campus is expected to have 8 gigawatts in total capacity, potentially making it one of the largest such campuses globally.<\/p>\n\n\n\n

Fidelis has been planning the Monarch Compute Campus since 2021 and launched AIPCorp for owning and operating the project.<\/p>\n\n\n\n

The Monarch Compute Campus is part of The Mountaineer GigaSystem project, the only microgrid district in West Virginia that produces net-zero carbon hydrogen to power and cool the upcoming data centers. Also launched by Fidelis, it received high-impact industrial business development and microgrid district designation\u2014expanded in 2025 to include additional power generation under the passage of West Virginia House Bill 2014, under Governor Patrick Morrisey\u2019s leadership.<\/p>\n\n\n\n

Power constraints reshaping development strategies<\/h2>\n\n\n\n

Power remains the sector\u2019s primary bottleneck and an evolving variable in data center real estate. While supply is already struggling to match demand in the industry, the data center electricity demand<\/a> in the US could more than double by 2030. As billion-dollar announcements are making headlines, the full build-out of these next-generation facilities is stretching across multiple years. <\/p>\n\n\n\n

As a result of this trend, some of the largest data center developers<\/a> are now changing strategies by picking new locations based on where power can be easily available, rather than extending the availability on site.<\/p>\n\n\n\n
