The agreement will combine Nuveen\u2019s $1.4 trillion in assets with Schroders\u2019 $1.1 trillion, creating one of the largest global asset management firms with about $2.5 trillion of assets under management.<\/p>\n\n\n\n<p>The acquisition is expected to close in the fourth quarter of 2026, subject to approval from regulatory authorities and Schroders shareholders. Both Nuveen and Schroders\u2019 boards of directors have unanimously approved the transaction, and Shroders\u2019 board has recommended the acquisition to shareholders.<\/p>\n\n\n\n<p>Owners of four Schroders family trusts, representing about 41 percent of Schroders shares, have already agreed to vote in favor of the deal.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity has-very-light-gray-to-cyan-bluish-gray-gradient-background has-background is-style-wide\"\/>\n\n\n\n<p><strong>READ ALSO<\/strong>:<a href=\"https:\/\/www.commercialsearch.com\/news\/top-commercial-real-estate-owners\/\"> 2025 Top Commercial Real Estate Owners<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity has-very-light-gray-to-cyan-bluish-gray-gradient-background has-background is-style-wide\"\/>\n\n\n\n<p>Under the terms of the deal, Schroders CEO Richard Oldfield will remain in his role and will report to Nuveen CEO William Huffman. Nuveen said in a statement that the Schroders London office, with 3,100 employees, would likely become the new firm\u2019s international headquarters and largest office.<\/p>\n\n\n\n<p>Chicago-based Nuveen, part of TIAA, also said it expects Schroders to continue to operate as a standalone business within the broader company for at least a year after the acquisition closes.<\/p>\n\n\n\n<p>Schroders shareholders would receive cash consideration of \u00a35.90, or about $8.06, per share for a total of \u00a39.5 billion, or about $13 billion. They would also be entitled to dividends of up to 22 pence, or $0.30, per Schroders share prior to completion.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-a-strategic-expansion\">A strategic expansion<\/h2>\n\n\n\n<p>In prepared remarks, Huffman said that <a href=\"https:\/\/www.commercialsearch.com\/news\/what-nuveens-13-5b-schroders-acquisition-means-for-cre\/\">the deal will allow both firms<\/a> to access new, global markets. Nuveen, which mainly operates in the Americas, will be able to access Schroders\u2019 clients in the U.K., Europe, Middle East, Asia and Africa, according to <a href=\"https:\/\/www.wsj.com\/business\/deals\/nuveen-to-buy-u-k-asset-manager-schroders-in-13-5-billion-deal-a61390bc?reflink=desktopwebshare_permalink\" target=\"_blank\" rel=\"noreferrer noopener nofollow\"><em>The Wall Street Journal<\/em><\/a>.<\/p>\n\n\n\n<p>Schroders, founded in 1804, will also benefit by accessing Nuveen\u2019s American customers and TIAA\u2019s annuities business.
