This initial proposition was nearly a done deal, having a 90 percent chance of closing, <a href=\"https:\/\/www.investing.com\/news\/analyst-ratings\/baird-downgrades-plymouth-industrial-reit-stock-rating-to-neutral-93CH-4303623\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">according to <em>Investing.com<\/em><\/a><em>,<\/em> citing <a href=\"https:\/\/www.tipranks.com\/experts\/analysts\/nicholas-thillman\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Baird analysts<\/a>, which deemed the emergence of competing bidders unlikely.<\/p>\n\n\n\n<p>Yet, Baird also downgraded Plymouth\u2019s rating from outperforming to neutral in October, even as the REIT was trading near a 52-week high, at $22.11 per share. It cited a balanced risk-reward profile at that price as the main reason for this change.<\/p>\n\n\n\n<p>Mere days after Baird\u2019s downgrade, Ares and Makarora\u2019s deal surfaced with an offering of $22.00 per share, representing a 50 percent premium compared to Plymouth\u2019s closing on August 18, the day before Sixth Street Partners\u2019 offer caused the stock to soar, according to <a href=\"https:\/\/www.perenews.com\/makarora-ares-ink-2-1bn-deal-to-take-plymouth-industrial-reit-private\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\"><em>PERE<\/em> reporting<\/a>.<\/p>\n\n\n\n<p>Plymouth owned 148 industrial properties comprising 32.1 million square feet as of September 2025, according to a SEC filing. During the first three quarters of 2025, it expanded its portfolio by nearly 2.9 million square feet, representing a 75.5 percent growth year-over-year.<\/p>\n\n\n\n<p>It invested $269.7 million for this expansion, up from $100.5 million during the same period of 2024, the same filing shows. One of the most significant Plymouth deals of 2025 was the <a href=\"https:\/\/www.commercialsearch.com\/news\/plymouth-reit-buys-ohio-industrial-portfolio-for-193m\/\">acquisition of a roughly 2 million-square-foot portfolio<\/a> from Investcorp for $193 million.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-reit-m-amp-a-activity-surges-during-2025-s-second-half\">REIT M&amp;A activity surges during 2025&#8217;s second half<\/h2>\n\n\n\n<p>The second half of 2025 witnessed a spike in REIT merger and acquisition deals, with six such deals announced for a total of $16.3 billion, according to an <a href=\"https:\/\/www.spglobal.com\/market-intelligence\/en\/news-insights\/articles\/2026\/1\/us-reit-m-a-activity-ramps-up-in-h2-2025-96560639\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">S&amp;P report<\/a>. By comparison, just two agreements were reached during 2025\u2019s first half, with a transaction volume of $1.7 billion.<\/p>\n\n\n\n<p>Notably, the largest REIT M&amp;A agreement of 2025 closed in the office sector, where Rithm Capital Corp. agreed to pay $5.8 billion, debt included, for all outstanding common shares of Paramount Group. The deal <a href=\"https:\/\/www.commercialsearch.com\/news\/what-rithm-capitals-1-6b-paramount-deal-means-for-cre\/\">wrapped up at $6.60 per fully diluted share<\/a>.<\/p>\n\n\n\n<p>Another noteworthy acquisition closed in the retail market with Blackstone\u2019s <a href=\"https:\/\/www.commercialsearch.com\/news\/blackstone-jv-to-acquire-alexander-baldwin\/\">acquisition of Alexander &amp; Baldwin<\/a>, one of Hawaii\u2019s <a href=\"https:\/\/www.commercialsearch.com\/news\/top-commercial-real-estate-owners\/\">largest owners of commercial real estate<\/a>.
