John Cuticelli, Racebrook<\/p><\/div>\n

In the first quarter of 2016, ARK Development\u2014a Racebrook portfolio company\u2014will open The ARK at JFK, the world\u2019s only animal-only airport terminal.\u00a0 Construction is now underway on the 178,000-square-foot facility, which has made the news from Germany to Japan to India.<\/p>\n

Racebrook CEO John Cuticelli is no Dr. Dolittle \u2013 he has just one dog, a Cockapoo named Tucker, at home. But he is a savvy investor with an eye for unusual opportunities and assets, and so the concept of creating a world-leading animal handling facility, one that will see domestic pets, race horses, livestock, and perhaps the occasional zoo animal pass through its large doors, presented an appealing challenge.<\/p>\n

Cuticelli recently spoke with CPE<\/em> about the project and its associated challenges.<\/p>\n

CPE: What a fascinating idea – the world\u2019s only privately owned animal handling cargo terminal \u2013 how did you come up with it?<\/b><\/p>\n

Cuticelli: <\/b>A Cornell veterinarian approached me with a document from the Port Authority of New York and New Jersey, in which they were seeking a developer to build a 6,000 sf small animal veterinary hospital somewhere on the airport property. With my background in the airport freight business, I had some idea of the kind of animal volume that comes through the airport. Given the footprint and notoriety of JFK, my response to that was that a 6,000 square foot facility was just too small. If we wanted to make a significant contribution to animal care, it would have to be much more elaborate and fulfill the needs of the industry. That\u2019s how it started.<\/p>\n

CPE: So what is the volume of animal traffic that passes through the airport?<\/b><\/p>\n

Cuticelli: <\/b>One of the interesting things is that there\u2019s no single place where you can gather that information, because there\u2019s no unified manner in which these animals are handled today. Different government regulatory bodies handle different situations in their own way. So, this will be the first time that anybody will be able to address the real volume. JFK is a world destination. Once you have the facility, and the integrated capabilities to handle the animals, the business can be developed and built.<\/p>\n

CPE: What kind of animals are we talking about? <\/b><\/p>\n

Cuticelli: <\/b>The bread and butter of the business are domestic cats and dogs, and racehorses certainly. But there are many other facets to the business. It\u2019s important to note that this is both an import and export facility. As it relates to the export side, the U.S. is one of the largest exporters of breeding stock, such as cows and bulls. So we will have \u2013 designed by Dr. Temple Grandin \u2013 an entire area of this facility that just deals with the exportation of these animals.<\/p>\n

I often joke about what happens when the first elephant comes through, if that happens, but we certainly expect to handle zoological animals to the extent that there\u2019s a need, though I don\u2019t believe they are a regular at any airport. We\u2019re really looking at the more traditional kinds of animals that are shipped on a regular basis. The ones that people don\u2019t think about are things like worms, which are used in agriculture and fisheries.<\/p>\n

CPE: Was there an existing facility like this globally that you were able to visit and learn from?<\/b><\/p>\n

Cuticelli: <\/b>We researched several animal transport <\/b>disciplines throughout the world. For example, <\/b>Amsterdam has an animal facility that was built in the 80\u2019s that is a pretty good execution. But, after nearly 30 years of operation, it has not kept up with the times. We learned a little bit from them. We also learned from the U.S. Department of Agriculture and how they handle quarantine and import. We did a lot of research on how temporary quarantine facilities are set up and how they handle events like the Kentucky Derby. Frankfurt, Germany has the Animal Lounge, which speaks primarily to domestic pets. But we couldn\u2019t find anyone that aggregated all the disciplines in the way that we will create a composite of these disciplines.<\/b><\/p>\n

CPE: The name is fantastic. Who gets credit for that?<\/b><\/p>\n

Cuticelli:\u00a0 <\/b>I have to give credit to my friend Suresh Kavan, who is the President & CEO of DMG Info, a division of the Daily Mail Group. We were sitting around one day discussing the project; I mentioned that I needed to come up with a name. He said: \u2019Why not just call it the ARK?\u2019<\/b><\/p>\n

CPE: Any unusual challenges or hurdles that you\u2019ve faced while putting this deal together?<\/b><\/p>\n

Cuticelli:\u00a0 <\/b>Racebrook Capital is a company that I founded.\u00a0 It is a private equity firm, primarily funded by me. In dealing with the regulatory bodies, there\u2019s really no benefit to anyone in the government to make a decision on an idea like this. How much time, how many resources, and how many dollars can you invest to convince a myriad of government agencies that this is a good idea? That was the biggest obstacle. So I think it\u2019s the reconciliation between entrepreneurism and state, public, or corporate procedures. We\u2019re not a big public conglomerate company or a major airline. We\u2019re investing our hard-earned time and money in something that no one has ever done before.<\/p>\n

CPE: What kind of developments and investments did you set out to make when you founded Racebrook Capital?<\/b><\/p>\n

Cuticelli:\u00a0 <\/b>My entire career has been in various forms of distressed debt and banking, primarily around real\u2013estate backed disciplines. When I formed Racebrook, I knew I could take advantage of my career and knowledge in distressed and opportunistic kinds of real estate situations. The primary product that Racebrook embodied when it began was DIP lending. We still do a fair amount of that work today, and that discipline is headed now by my son Ryan. The idea expanded in 2009, when we bought the real estate auction company Sheldon Good and Co. That company, with offices across the country, is now run by my son Jonathan. So today, our daily bread and butter businesses are DIP lending and real estate auctions. However, the business we enjoy the most are high-risk investments that have long gestation periods that others just won\u2019t do.<\/p>\n

CPE: Any examples of that you can share? <\/b><\/p>\n

Cuticelli:\u00a0 <\/b>We just finished the acquisition and renovation of a large animal surgery hospital at Belmont Race Track called the Ruffian Center. It will specialize in horse surgeries, and be operated for the next 20 years by Cornell Veterinary College, with some of the foremost horse surgeons in the world performing surgeries there on a regular basis. We have a standup MRI, two major operating suites, an in-house treadmill that can exercise a horse up to 50 mph, recovery stalls, all kinds of things that are necessary for horses to get the best care in the industry.<\/p>\n

Barrier to entry was very high, discipline had to be exacting, and capital was not available. But we thought it was a natural add-on to the JFK project. Where else in the world are you going to ship your horse and know that you have a world class surgical team 4.7 miles away, in a co-owned facility? There\u2019s nowhere else in the world where you can do that.<\/b><\/p>\n
